Term Sheets in MuMate / Dupage Ventures & Walnut Ventures
Based on your analysis of the term sheet in the Walnut Ventures (D) case, your experience in negotiating the Mu Mate /Dupont Ventures term sheets, and class discussion:
Term sheet terms – Identify and discuss what you consider to be the five most important elements in term sheets from the perspective of the entrepreneur and from the perspective of a risk capital investor (two different lists).
Negotiations – what are your three biggest learnings as they relate to term sheet negotiating strategies that you employed? From a negotiation perspective, devise a priority list of these items that you would attempt to negotiate from each vantage point (entrepreneur and risk capital investor). Use examples from all of the cases and your negotiating experience to illustrate your points. Be sure to explain and justify your answers.
